- Eligibility: This contest is open only to those who are 18 years of age or older as of the date of entry. The contest is only open to legal US residents. Staff of The Flatiron NoMad Partnership (“The Partnership”), including all including full & part-time Partnership staff, contracted vendors, or board members, (collectively “The Partnership Team”), and immediate family members and/or those living in the same household of “The Partnership Team” are not eligible to participate in the Contest. The Contest is subject to all applicable federal, state, and local laws and regulations. Void where prohibited by law.
- Agreement to Rules: By participating, the Contestant (“You”) agree to be fully unconditionally bound by these Rules, and You represent and warrant that You meet the eligibility requirements. In addition, You agree to accept the decisions of The Partnership as final and binding as it relates to the content of this Contest.
- Contest Period: Entries will be accepted starting [DAY, DATE, TIME] through [DAY, DATE, TIME].
- Entry Rules: To enter, You must first (1) follow @flatironny on Instagram®, (2) follow the featured business on Instagram®, and (3) and “like” our giveaway post on Instagram® at [LINK]. Then for each friend that you “tag” on our giveaway post on Instagram®, you will receive one (1) entry. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of The Partnership. You must provide the information requested. There is no limit on number of entries, but you may not use multiple identities or devices in an attempt to “tag” the same friend more than once. - Prizes: [Number] of winners will be selected to receive a [$XX] gift card to the featured business.
Actual/appraised value may differ at time of prize award. The specifics of the prize shall be solely determined by The Partnership, and The Partnership reserves the right to substitute the prize for another prize of greater or equal value. The prize is nontransferable, and each participant is eligible to receive only one (1) prize. Winner may not assign or transfer a prize or redeem a prize for cash. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of Winner.
- Odds: The odds of winning a prize depend on the number of eligible entries received.
- Winner Selection and Notification: Winner(s) will be selected by a random drawing under the supervision of The Partnership within five (5) business days of the last day of the Contest. Winner will be notified by Instagram® message or email within five (5) business days following selection of Winner. Where more than one prize is offered, random drawings shall be conducted in the prize order set forth above, or in such other order as determined by the Partnership in its sole discretion. If a Winner is ineligible because they have already been selected for a Contest prize, then an alternate Winner for such prize will be selected by random drawing.
The Partnership is not liable for and will not replace any lost, mutilated or stolen prize or any prize that is undeliverable or does not reach the winner for any reason, including, without limitation, Winner’s failure to receive notices due to spam, junk e-mail or other security settings or for Winner’s provision of incorrect or otherwise non-functioning contact information. If Winner cannot be contacted, or their prize notice is returned or deemed undeliverable, or if a Winner is ineligible, refuses or fails to claim the prize, or fails to timely return a completed and executed declaration and release as required and take delivery of the prize, within 30 days from the time award notification sent, the prize may be forfeited, and an alternate Winner may be selected by subsequent random drawing.
Receipt by Winner of the prize offered in this Contest is conditioned upon compliance with any and all federal, state, and local laws and regulations. The Winner must abide by all restrictions in connection with the prize including the terms and conditions of the prize provider. ANY VIOLATION OF THESE OFFICIAL RULES BY WINNER (AT THE PARTNERSHIP‘S SOLE DISCRETION) WILL RESULT IN WINNER’S DISQUALIFICATION AS WINNER OF THE CONTEST, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
- Terms & Conditions: The Partnership reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest if an act, occurrence or reason arises that The Partnership believes could corrupt or affect the administration, security, fairness, or proper conduct of the Contest. In such case, the Partnership, in its sole discretion, may select the Winner from all eligible entries received prior to and/or after (if appropriate) the action taken by The Partnership.The Partnership reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Contest or violates these Terms & Conditions. The Partnership has the right, in its sole discretion, to maintain the integrity of the Contest, to void entries for any reason, including, but not limited to: multiple or duplicate entries from the same individual with different contact information or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil laws. Should such attempt be made, The Partnership reserves the right to seek damages to the fullest extent permitted by law or refer the matter to the authorities. Incomplete or inaccurate entries are void.
The Partnership is not responsible for (a) lost, misdirected, late, incomplete or unintelligible entries or for inaccurate entry information, whether caused by you, by Instagram® or an email provider, or by any of the equipment or programming associated with or utilized in the Contest, or by any technical or human error that may occur in the processing or delivery of entries, (b) any printing or typographical errors in any materials associated with the Contest, (c) any error in the operation or transmission, theft, destruction, unauthorized access to, or alteration of, entries, or for technical, network, telephone, computer, app, hardware or software, malfunctions of any kind, or inaccurate transmissions of, or failure to receive any entry information on account of technical problems or traffic congestion on the internet or at any website or app, or (d) injury or damage to your or any other computer or handheld device resulting from downloading any materials in connection with the Contest.
- Limitation of Liability: By participating in the Contest, You agree (for Yourself and for Your heirs) to release, discharge, defend, indemnify and hold harmless, The Partnership and the City of New York, along with their officials, employees, directors, officers affiliates and agents, and any other entity involved in any aspect of the Contest (collectively, the “Released Parties”) from any liability, claims, losses, injuries and damages, including reasonable attorney’s fees and court costs, arising out of or relating to their participation in the Contest; or the acceptance, use, misuse or possession of any prize received in the Contest; or the use of the participant’s name, photograph, likeness, prize information, entry materials and/or statements about the contest; except in the case of gross negligence.
Participating in the Contest constitutes permission for The Partnership and the City of New York to use Your name, photograph, likeness, prize information, entry materials and/or statements about the Contest for promotional and publicity purposes without further compensation, to the extent permitted by applicable law.
This promotion is in no way sponsored, endorsed or administered by, or associated with Instagram®/Meta®. Instagram®/Meta® is not affiliated with the Partnership in any way. You release, waive, forever discharge and agree not to sue Instagram®/Meta® in connection with this Contest.
- Disputes: THIS CONTEST IS GOVERNED BY THE LAWS OF THE UNITED STATES OF AMERICA AND NEW YORK STATE, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Contest, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in New York State having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees. Participant further waives all rights to have damages multiplied or increased.
